New Protected Series LLC Structure in Florida (Effective July 1, 2026)

On July 1, 2026, Florida introduced a Protected Series Limited Liability Company (LLC) structure as part of a broad revision to the Florida Revised Limited Liability Company Act. This update, enacted through CS/SB 316 (2025), adds protected series provisions to Chapter 605 of the Florida Statutes and reflects modern business needs for liability segregation and operational flexibility.

Under the new law, a Florida LLC can create one or more protected series within the same umbrella company. Each protected series can operate with its own assets, liabilities, members, and managers, with separate business purposes, and with independent asset ownership and contractual rights. Simply, each protected series is treated legally as distinct from the parent LLC, other series, and its members for many corporate and liability purposes — even though it is not a separate legal entity like a stand-alone LLC.

This structure offers several practical advantages, such as:

Cost Savings: Owners can consolidate what would previously require multiple separate LLCs into a single entity with multiple protected series — potentially reducing formation and annual reporting fees;

Simplified Administration: Bank accounts, tax elections, and management structures can be coordinated centrally while still maintaining asset separation; and

Asset Protection: Ideal for real estate portfolios, franchise operations, and diversified business lines where isolating risk for individual assets or ventures matters.

Before this change, Florida did not authorize domestic protected series LLCs, even though foreign series LLCs could register to do business in Florida under existing rules. The 2025 legislative update brings Florida in line with other progressive jurisdictions that have adopted protected series structures, such as Delaware and Texas, and with the Uniform Protected Series Act model.
